Apostille Services for Washington Business Documents

International business expansion requires authenticated documents. Whether you are opening a bank account abroad, forming a foreign subsidiary, or entering into a partnership with an overseas company, you will need apostilled business documents to prove your company’s legitimacy and legal standing.

We specialize in processing apostilles for all types of Washington State business documents through the WA Secretary of State. Our team understands corporate timelines and can coordinate rush processing to meet your deal deadlines.

Types of Business Documents We Apostille

We process apostilles for a wide range of corporate and commercial documents:

  • Articles of Incorporation / Articles of Organization. The foundational document of your corporation or LLC, filed with the WA Secretary of State. These are among the most commonly apostilled business documents.
  • Certificates of Good Standing. Also called certificates of existence or status. These prove your company is active, in compliance, and authorized to conduct business in Washington.
  • Corporate Resolutions. Board resolutions authorizing specific actions — opening foreign accounts, appointing representatives, or entering into international contracts.
  • Operating Agreements and Bylaws. Internal governance documents that foreign partners and financial institutions may require in apostilled form.
  • Commercial Invoices and Contracts. Some international trade transactions require apostilled commercial documents for customs, regulatory, or legal purposes.
  • Powers of Attorney. Corporate powers of attorney authorizing representatives to act on behalf of the company in foreign jurisdictions.
  • Annual Reports and Financial Statements. Certain foreign regulators or banks require apostilled financial documents as part of due diligence.

Why Businesses Need Apostilled Documents

Washington businesses seek document apostilles for several key reasons:

  • International expansion. Registering a branch office, subsidiary, or representative office in a foreign country almost always requires apostilled formation documents and certificates of good standing.
  • Foreign partnerships and joint ventures. International partners and their legal counsel will request apostilled proof that your company is validly organized and in good standing before entering into a binding agreement.
  • Opening bank accounts abroad. Foreign banks require apostilled corporate documents to comply with know-your-customer (KYC) and anti-money-laundering (AML) regulations. This is true even for simple operating accounts.
  • Washington-Canada cross-border business. With Seattle’s proximity to British Columbia, many of our clients do business across the Canadian border. Canadian authorities and banks frequently require apostilled or authenticated U.S. corporate documents.
  • Government contracts and tenders. Bidding on government contracts in Hague Convention countries typically requires apostilled corporate documents as part of the qualification package.
  • Intellectual property filings. Registering trademarks, patents, or copyrights in foreign jurisdictions may require apostilled proof of the company’s legal existence.

Frequently Asked Questions

Can I apostille a Certificate of Good Standing that I downloaded from the WA Secretary of State website?

No. The online version is informational only and does not carry the original certification required for apostille. You need to order a certified Certificate of Good Standing directly from the WA Secretary of State, which we can do on your behalf as part of our service.

How long is an apostilled Certificate of Good Standing valid?

The apostille itself does not expire, but many foreign institutions require the underlying Certificate of Good Standing to be recent — typically issued within the last 30 to 90 days. We recommend confirming the freshness requirement with the receiving institution before ordering.

Can you apostille documents for a company registered in another state?

The WA Secretary of State can only apostille documents that originate from Washington State. If your company is incorporated in Delaware, Nevada, or another state, those documents must be apostilled by that state’s Secretary of State. However, if you have a Washington Certificate of Authority (foreign registration), that document can be apostilled through Washington.

Do you handle notarized business documents?

Yes. Notarized corporate documents — such as affidavits, declarations, and certified translations — can also be apostilled, provided the notary is commissioned in Washington State. The apostille authenticates the notary’s signature and seal.
